L’article 1218 du code civil prévoit : “Il y a force majeure en matière contractuelle lorsqu’un événement échappant au contrôle du débiteur, qui ne pouvait être raisonnablement prévu lors de la conclusion du contrat et dont les effets ne peuvent être évités par des mesures appropriées, empêche l’exécution de son obligation par le débiteur.” Ainsi, pour que la force majeure soit retenue, il faut que l’événement réunisse trois conditions : qu’il soit « imprévisible, irrésistible et extérieur aux parties ». Si l’appréciation doit être au cas par cas, il est fort à parier que le coronavirus sera considéré comme un cas de force majeure.

Si la force majeure est retenue, vous pouvez vous en prévaloir, celle-ci permet de faire obstacle à l’application de pénalités comme à la mise en œuvre de votre responsabilité en raison de retards ou d’inexécution. De plus, la force majeure peut même permettre votre indemnisation (pour les marchés de travaux par exemple, voir l’article 18.3 du C.C.A.G. dédié). Pour information, d’autres mécanismes que la force majeure pourront être invoqués comme la « théorie de l’imprévision » ou celle du « fait du prince. » Enfin, du côté des acheteurs publics, en vertu de l’article L2195-2 du code de la commande publique, ceux-ci peuvent purement « résilier le marché en cas de force majeure.”
